Design a Reusable Shopping Bag Contest Official Rules

1. Entry Period. The Kroger Co. (“Kroger”) “Design a Reusable Shopping Bag” design contest (“Contest”) begins April 19, 2013 at 12:00 AM Eastern Daylight Time (“EDT”), at which time submissions will first be accepted. The Kroger Co. will accept submissions through 11:59 pm EDT, May 18, 2013 (“Submission Period”). YOU TECHNOLOGY Brand Services computer is the official time keeping device for this Contest.

2. Kroger. The Contest is sponsored by The Kroger Co., 1014 Vine Street, Cincinnati, OH 45202-1100 (“Kroger”) and is hosted and administered by YOU TECHNOLOGY Brand Services, 701 Gateway Blvd, Suite 101, South San Francisco, CA 94080.

3. Eligibility. This promotion is open only to residents of the 50 United States and the District of Columbia except FL, NY, MA and RI, 13 years of age or older at time of entry. Employees of Kroger, its affiliates, subsidiaries, advertising and other agencies and their immediate family members and those living in the same household of each are not eligible. A valid email address is required to set up an account and submit a bag design, or otherwise participate in this contest. A valid Kroger shopper card or Rewards card is required to participate in the contest. All federal, state, and local laws and regulations apply. Void where prohibited by law. No purchases necessary.

Follow the instructions to set up and activate an account. After your initial registration you will need your email and password for additional submissions. Prior to your submission review the entry guidelines and requirements on the submit design pages.

The original designer must submit entries. Do not submit a design created by someone other than you. You must be the sole owner of the copyright in any design you submit. Your submission of a design is your guarantee that you are the author and copyright holder in the design and that the design does not infringe upon the rights of any third party. In the event that ownership of your submission is contested in any manner, Kroger reserves the right to disqualify your entry. In the event that any third party claims that their rights are infringed or otherwise injured by your entry, Kroger reserves the right to disqualify your entry. You hereby agree to indemnify and hold harmless, Kroger and its subsidiaries, affiliates, suppliers, distributors, and the respective officers, directors, employees, and agents from and against any claim or cause of action arising out of the use of your design, including, but not limited to claims based upon copyright infringement, intellectual property infringement, privacy, publicity, or other damages to a person or property.

The design must be appropriate for posting on a public website and production on a bag sold in Kroger stores. Obscene, provocative, or otherwise questionable content will not be considered. Kroger retains the sole right to determine what constitutes inappropriate content. Designs should not contain recognizable images of real people or their property, brand logos, trademarks, or the copyrighted images of third parties.

Submissions become the property of Kroger and will not be returned.

In order to be eligible to be awarded any prizes, the selected designers must assign all right, title and interest in and to their designs to Kroger and must be reachable by email. By entering the contest, you agree that Kroger may display your design on the Website and affiliated websites, without any fee or other form of compensation, and you agree that Kroger may display the designs in future promotional programs in various other mediums and may retain and make copies of your design as it sees fit for its own promotional, advertising, marketing, or other purposes such as bag production not related to this contest.If you are not willing to assign your rights to Kroger, do not enter the contest.

ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, KROGER RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

Kroger is not responsible for faulty, incorrect, or mistranscribed phone or internet transmissions, incorrect announcements of any kind, technical hardware or software failures of any kind including any injury or damage to any person’s computer related to or resulting from participating in or experiencing any materials in connection with the promotion, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmission that may limit a user’s ability to participate in the promotion. Kroger assumes no responsibility for undeliverable e-mails resulting from any form of active or passive e-mail filtering by a user’s Internet service provider, for e-mail client or for insufficient space in user’s e-mail account to receive e-mail or if user fails to check his or her email associated with a Kroger.com account. Any damage made to the Website will be the responsibility of the authorized e-mail account holder of the e-mail address submitted at the time of entry. Proof of submitting entries will not be deemed to be proof of receipt by Kroger. Any use of robotic, automatic, programmed or the like methods of participation will void all such submissions by such methods. Kroger reserves the right to prohibit the participation of an individual if fraud or tampering is suspected or if the account holder fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules. In the event of a production or other error, neither Kroger nor its respective agents and agencies shall have any liability. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any promotional materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. Kroger is not responsible for any typographical or other error in the printing of the offer, administration of the promotion or in the announcement of the prizes.

6. Agreement to Rules. By participating in the Contest, you fully and unconditionally agree to and accept these Rules and the decisions of the judges and Kroger, which are final and binding in all matters related to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.

7. Judging Criteria. Eligible entries will be posted on the Website. After submission of an entry, Kroger will determine whether the entry meets all eligibility and design criteria and complies with these Rules and the guidelines and submission instructions set forth on the website on the “Submit Designs” pages. Kroger has sole discretion in deciding whether or not to post a submission for voting. Kroger reserves the right to change this determination at any time. If, in Kroger’s sole discretion, an entry is deemed acceptable, Kroger will post the entry on the Website. From April 19, 2013 through May 18, 2013, (the “Voting Period”) visitors to the Website can vote for an entry one time per day. The visitor votes will determine the top-voted eligible designs. At the end of the Voting Period, Kroger will determine the 5 top designs. The ranking will be determined by originality, the message of the design and artistry. The top-voted designs will receive special consideration in the voting process and may be featured on the site. Determination of the winners is in the sole discretion of the judges. The judges will consist of an internal panel made up of Kroger’s key stakeholders. The judges’ determinations are final. The judges will rank the 5 top designs from those submitted nationally via the website in order and determine the winner. Kroger reserves the right, in its sole discretion, to discontinue the Contest, in whole or in part, in the event that there are an insufficient number of eligible entries to continue with the Contest. In addition, in the event that Kroger determines that the quality of the designs submitted is insufficient to allow for the production of the designs, Kroger shall have the right to decide not to produce the designs.

8. How to Vote. Each visitor to the Website may vote one time per bag, per day, during the Submission Period by clicking on the Vote button. You must be logged in to your account in order to vote. Your browser must accept cookies to be eligible to vote. Votes and the associated bag designs may be disqualified or discounted if Kroger in its sole discretion determines that they are being intentionally manipulated; or otherwise knowingly or unknowingly inflated.

9. Prizes: Only those entries ranked by the judges as the top 5 will be considered for prizes. Each of the designated 5 top designs will be featured on the Website and be eligible for the additional awards detailed below.

The five designs that the judges determine to be the best designs will be the winners. The winners will be awarded a $1,000 gift card to Kroger. . Prizes are non-transferable and no substitution will be made except as provided herein at Kroger’s sole discretion.

No transfer or substitution of prizes. Kroger may substitute a prize for a prize of equal or greater value. In no event will more than the stated number of prizes be awarded.

Taxes on prizes are the responsibility of winners.

10. Selection of Winners: The 5 top-ranked designs will be announced on or around June 1, 2013. The judges will select the final winner on or around June 21, 2012 and Kroger will contact the winning entrant. Kroger’s and judges’ decisions as to the administration and operation of the Contest and the selection of the potential winners are final and binding in all matters related to the Contest. The potential winners will be notified by e-mail instructing them on the winner verification and prize redemption process. If you are selected to receive the winning prizes you (or parent/legal guardian if winner is a minor) must assign all of your right, title and interest in your design to Kroger and agree to indemnify Kroger against third party infringement claims. If you cannot do so, you will not be eligible to receive the top prize and your design will not be produced on a reusable shopping bag.

11. Verification of Potential Winners: Potential winners (or the parent or legal guardian if a winner is a minor) must comply with these Rules and winning is contingent upon fulfilling all requirements of the Rules. Each potential winner will be required to sign an affidavit of eligibility and liability/publicity release (except if prohibited) and the assignment of rights and indemnity required under Rule 10 and return them to Kroger within 10 days of the date the notice or attempted notice is sent in order to claim their prize and must fulfill any such other requirements as determined by Kroger. Return of the notification as undeliverable may result in disqualification. If a potential winner fails to sign and return the affidavit of eligibility and liability/publicity release or a required assignment of rights and indemnity within the required time period, the potential winner forfeits the prize. In the event that a potential winner is disqualified for any reason, Kroger may select an alternate winner or Kroger may determine that no further judging will take place and that designated prize will not be awarded. Prizes will be distributed on or around July 9, 2013.

12. Release and Limitation of Liability. Except where prohibited, by participating in the Contest, you agree to release and hold harmless Kroger, and its subsidiaries, affiliates, suppliers, distributors, and each of such company’s officers, directors, employees and agents (collectively the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize including, but not limited to: (a) unauthorized human intervention in the Contest; (b) incorrect or inaccurate information, whether caused by entrants, printing errors, or by any of the equipment or programming associated with or utilized in the Contest; (c) technical errors related to computers, servers, or telephone or network lines; (d) printing errors; (e) errors in the administration of the Contest or in the processing of the entries; (f) late, lost or undeliverable mail or email; or (g) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Contest or receipt of any prize. You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Contest and in no event will the Released Parties be liable for attorney’s fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct or indirect damages. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. If for any reason your entry is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, your sole remedy is another entry in the Contest if possible.

13. Disputes. Except where prohibited, you agree that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded will be resolved individually, without resort to any form of class action, and exclusively in the federal or state courts located in Hamilton County, Ohio; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorney’s fees; and (3) under no circumstances will you be permitted to obtain awards for, and you hereby waive all right to claim, indirect, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Rules, or your rights and obligations hereunder or any claims arising out of or relating to the contest, shall be governed by, and construed in accordance with the laws of the State of Ohio, without regard to the conflict of law rules thereof.

14. Publicity. Except where prohibited, your participation in this Contest constitutes your consent for Kroger and its designees to use your name, likeness, design and state of residence for promotional purposes in any media without further considerations.

15. Privacy Policy. Information collected from you is subject to The Kroger Co. Privacy Policy available at www.kroger.com.

16. General Conditions. Kroger reserves the right to cancel, suspend, or modify the Contest, or any part of it, if any fraud, misconduct, technical failures, computer viruses, or any other factors impair the administration, security, integrity, or proper functioning of the Contest, as determined by Kroger in its sole discretion. In the event of a termination, suspension, or modification, notice will be posted on the Website. Kroger reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or operation of the Contest or to be acting in violation of these Rules or in an unsportsmanlike or disruptive manner. Kroger’s failure to enforce any term of these Rules shall not constitute a waiver of that provision.

17. Winners. The names of the winners will be available on the website for at least four weeks beginning on or around July 9, 2013.
